End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("you," "your," or "Licensee") and EON Financials, LLC ("EON Financials," "we," "us," or "Licensor"), a subsidiary of EON Holdings, LLC. This Agreement governs your use of the EON Financials desktop application software and any associated updates, patches, or documentation (collectively, the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant

Subject to the terms and conditions of this Agreement and your active subscription, EON Financials grants you a limited, non-exclusive, non-transferable, revocable license to:

Install and use the Software on Windows-based computers owned or controlled by you or your organization, up to the number of users permitted by your subscription plan.
Use the Software solely for its intended purpose of financial reconciliation, transaction categorization, and audit report generation for your internal business operations.

This license is conditional upon your maintaining an active, paid subscription or valid free trial period with EON Financials.

2. Restrictions

You agree that you will not, and will not permit any third party to:

Reverse engineer: Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code, algorithms, or data structures of the Software.
Modify: Alter, adapt, translate, or create derivative works based on the Software.
Redistribute: Copy, distribute, sublicense, lease, rent, sell, or otherwise transfer the Software or any rights therein to any third party.
Remove notices: Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software.
Circumvent protections: Bypass, disable, or circumvent any license key validation, copy protection, or access control mechanisms in the Software.
Benchmark or compete: Use the Software to develop a competing product or service, or publish benchmark or performance comparisons without our prior written consent.
Exceed license scope: Use the Software on more devices or for more users than permitted by your subscription plan.

3. License Key Management

3.1 Issuance

Upon purchase of a subscription, you will receive a unique license key via email. This license key is required to activate and use the Software. Each license key is tied to your subscription plan and the number of authorized users.

3.2 Confidentiality

Your license key is confidential. You are responsible for safeguarding your license key and must not share it with unauthorized individuals. If you believe your license key has been compromised, contact support@eonaudit.com immediately for a replacement.

3.3 Validation

The Software may periodically connect to our servers to validate your license key and subscription status. An internet connection is required for license validation. If the Software cannot validate your license, certain features may be restricted until validation is successful.

3.4 Deactivation

Your license key will be deactivated if your subscription expires, is cancelled, or is terminated. Upon deactivation, you must cease using the Software. Data stored locally on your computer remains accessible to you independent of the Software.

4. Data Ownership

You own your data. All financial documents, bank statements, transaction data, categorizations, corrections, and audit reports that you create, upload, or generate using the Software remain your exclusive property. EON Financials claims no ownership interest in your data.

In the current desktop version (Phase 1), all of your data is stored locally on your computer and is never transmitted to EON Financials servers. You are solely responsible for backing up your local data.

If cloud features are introduced in future versions, data storage and transmission will be governed by our Privacy Policy, and you will be notified of any changes before they take effect.

5. Updates and Maintenance

5.1 Software Updates

EON Financials may release updates, patches, bug fixes, or new versions of the Software from time to time. Updates may be delivered automatically or made available for manual download. Some updates may be required to continue using the Software or to maintain compatibility with license validation services.

5.2 Feature Changes

We reserve the right to add, modify, or remove features in future versions of the Software. We will provide reasonable notice of material changes that significantly affect your use of the Software.

5.3 Support

Support availability depends on your subscription plan. All plans include email support at support@eonaudit.com. Professional and Agency plans include priority support and dedicated onboarding. Support response times and service levels are described on our Pricing page.

6. Termination

6.1 Termination by You

You may terminate this Agreement at any time by uninstalling the Software and cancelling your subscription. Upon termination, you must delete all copies of the Software from your devices.

6.2 Termination by EON Financials

We may terminate this Agreement and revoke your license immediately if:

You breach any term of this Agreement.
Your subscription payment fails and is not resolved within the applicable grace period.
You engage in unauthorized use, redistribution, or reverse engineering of the Software.
You use the Software for illegal purposes or in a manner that harms EON Financials or other users.

6.3 Effect of Termination

Upon termination of this Agreement:

Your license key will be deactivated.
You must immediately cease all use of the Software and delete all copies.
Data stored locally on your computer remains your property and is not affected by termination.
Sections of this Agreement that by their nature should survive termination (including Limitation of Liability, Warranty Disclaimer, Indemnification, and Governing Law) shall survive.

7. Warranty Disclaimer

The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. EON Financials specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, EON Financials does not warrant that:

The Software will operate uninterrupted, error-free, or free of viruses or harmful components.
The Local AI-powered transaction categorization will be 100% accurate for every transaction or document.
The Software will meet all of your specific requirements or produce results suitable for any particular purpose.
Any defects in the Software will be corrected within any specific timeframe.

The Software is a tool to assist your financial reconciliation and audit processes. It is not a substitute for professional accounting, auditing, tax, or legal advice. You are solely responsible for verifying the accuracy of all outputs and reports generated by the Software.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

No indirect damages: In no event shall EON Financials, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to this Agreement or your use of the Software.
Aggregate cap: EON Financials's total cumulative liability for any and all claims arising under this Agreement shall not exceed the total amount you have paid to EON Financials for your subscription in the twelve (12) months immediately preceding the event giving rise to the claim.
Acknowledgment: You acknowledge that the limitations of liability in this section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and EON Financials.

9. Indemnification

You agree to indemnify, defend, and hold harmless EON Financials, LLC and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of this Agreement, your use of the Software, or your violation of any applicable law or the rights of any third party.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. Any disputes arising out of or related to this Agreement shall be resolved exclusively in the state or federal courts located in Beaufort County, South Carolina. You consent to the personal jurisdiction and venue of such courts.

11. Severability

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

12. Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and EON Financials, LLC regarding the Software. This Agreement supersedes all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the Software.
