Terms of Service — EON Financials

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and EON Financials, LLC ("EON Financials," "we," "us," or "our"), a subsidiary of EON Holdings, LLC. These Terms govern your access to and use of the EON Financials website (eonaudit.com), desktop application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, purchasing a subscription, downloading the application, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

EON Financials is an all-in-one Local AI-powered financial solution designed for companies of all sizes. The Service provides:

Local AI-driven transaction categorization trained on financial data
PDF bank statement parsing and data extraction
Automated audit report generation
Custom expense category rules and configuration
Anomaly detection and flagging
Multi-month financial trend analysis

The Service is currently delivered as a Windows desktop application with a web-based marketing and account management site. Features, functionality, and supported platforms may change over time as we develop and improve the product.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and license key. You agree to notify us immediately at support@eonaudit.com if you become aware of any unauthorized use of your account.

You are responsible for all activity that occurs under your account, whether or not you authorized that activity.

4. Subscription and Billing

4.1 Plans and Pricing

EON Financials is offered on a subscription basis with multiple plan tiers (Starter, Professional, and Agency). Current pricing and plan details are available on our Pricing page. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

4.2 Free Trial

New subscribers may be eligible for a 14-day free trial. No credit card is required to begin a free trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

4.3 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize us to charge the payment method on file for recurring subscription fees at the applicable billing interval (monthly or annual). You are responsible for keeping your payment information current.

4.4 Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal or by contacting support@eonaudit.com. Upon cancellation:

Your access continues through the end of your current billing period.
No prorated refunds are issued for partial billing periods.
Your license key will be deactivated at the end of the billing period.
Data stored locally on your computer remains accessible to you.

4.5 Refunds

We do not offer refunds for partial billing periods. If you believe you have been charged in error, please contact support@eonaudit.com within 14 days of the charge and we will investigate promptly.

5. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You agree not to:

Use the Service for any unlawful, fraudulent, or malicious purpose
Share, transfer, or sublicense your license key or account credentials to unauthorized parties
Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the application
Circumvent or disable any security, licensing, or access control mechanisms
Use the Service to process data on behalf of third parties without a valid multi-user plan
Interfere with or disrupt the integrity or performance of the Service
Upload malicious files, viruses, or harmful code through the Service
Scrape, crawl, or use automated tools to access the website or Service beyond normal use

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, algorithms, Local AI models, user interface designs, documentation, branding, and content, is owned by EON Financials, LLC and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service.

6.2 Your Data

You retain full ownership of all data you upload, process, or generate using the Service, including bank statements, transaction data, categorizations, and audit reports. We claim no ownership interest in your data. See our Privacy Policy for details on how we handle your information.

6.3 Feedback

If you provide suggestions, feature requests, or other feedback about the Service, we may use that feedback to improve the Service without any obligation or compensation to you.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall EON Financials, LLC, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Service, including but not limited to:

Loss of profits, revenue, data, or business opportunities
Errors or inaccuracies in Local AI-generated categorizations or reports
Service interruptions, downtime, or data loss
Unauthorized access to your account resulting from your failure to secure credentials

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid to EON Financials in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing:

We do not warrant that the Local AI categorization will be 100% accurate for every transaction.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
We do not warrant that the Service will meet all of your specific requirements.
EON Financials reports are tools to assist your financial processes and are not a substitute for professional accounting, auditing, or legal advice.

9. Indemnification

You agree to indemnify, defend, and hold harmless EON Financials, LLC and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

10. Modifications to the Service

We reserve the right to modify, update, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that adversely affect your use of the Service. Continued use of the Service after modifications constitutes your acceptance of those changes.

11. Modifications to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on our website. The "Last updated" date at the top of this page indicates the most recent revision. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Beaufort County, South Carolina. You consent to the personal jurisdiction and venue of such courts.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and End User License Agreement, constitute the entire agreement between you and EON Financials, LLC regarding your use of the Service. These Terms supersede all prior agreements, representations, and understandings.
